Mergers & acquisitions
Rosenblatt’s Corporate team advises on all aspects of the acquisition and disposal of businesses, and private and public companies. Backed by an impressive track record in M&A, and a reputation for tenacious negotiation and a close eye for detail, we offer clients valuable, commercially-focused support in handling the challenges of a deal.
Equity capital markets
We advise issuers, investors, sponsors, nominated advisers, and brokers on equity capital transactions, including pre-IPO fundraisings, flotations and primary/secondary equity offerings on the London Stock Exchange’s Main Market and AIM market. We also advise on regulatory obligations and public-to-private transactions.
Private equity and venture capital
Rosenblatt’s Corporate team has substantial experience of acting for private equity and venture capital houses, and for sellers and management teams, on a broad range of private equity and venture capital transactions, including acquisitions, disposals, investments, management buy-outs and management buy-ins.
Corporate advisory
We advise private and public companies and other business entities on all aspects of company law, including: articles of association and other constitutional issues, directors’ duties and liabilities, company meetings, shareholder rights and shareholder agreements, share issues and buy-backs, schemes of arrangements, and reorganisations.
Joint ventures
We advise on all types of arrangements for joint ventures, whether these take the form of an entity such as a joint venture company, or of a collaboration agreement or strategic alliance. Issues associated with the chosen structure can include: funding and other contributions to the joint venture; how to protect minority partners in the joint venture; commercial arrangements in connection with the joint venture; IP and IT rights; real estate; employment; and tax.
In collaboration with other specialist teams at Rosenblatt, we advise clients on such matters as: establishing a business; trading and expanding, including financing via banks or via other routes; commercial agreements; IT and IP rights; real estate; employment; tax, and disputes amongst shareholders or with third parties.

 

Recent transactions undertaken by Rosenblatt’s Corporate team
Merger & Acquisitions
Clients we have recently advised include:

  • Northern & Shell in connection with the £450m disposal of Channel 5 to US-based Viacom.
  • The selling shareholders of Spanish company Silhouette Lift S.L. in relation to the pre-sale global reorganisation of the business and subsequent sale to AIM-listed Sinclair IS Pharma plc. The consideration comprised an upfront cash payment of £14.4m and milestone and royalty payments of up to £55m.
  • The selling shareholders of Nicocigs, which owns the Nicolites electronic cigarette brand, on their sale of the company to Philip Morris. Nicocigs is one of the UK’s fastest-growing electronic cigarette-makers, with about 27 per cent of the UK’s e-cigarette market.

Equity capital markets
Clients we have recently advised include:

  • FinnCap in respect of its role as Nomad and Broker in the matter of the acquisition by UBC Media Group plc of 7digital for an aggregate consideration of £16.5m, satisfied by the issue of new ordinary shares in UBC, and the related placing and subscription, which raised £6m. The acquisition was a reverse takeover under the AIM Rules.
  • Rosslyn Data Technologies plc, the data-cleaning and management software business, in connection with a £10m placing of its shares and the admission of its shares to trading on AIM.
  • WH Ireland Limited and WG Partners (a division of Charles Stanley & Co. Limited) on a conditional placing, subscription and open offer by Verona Pharma plc to raise up to £14m.

Private equity/Venture capital
Clients we have recently advised include:

  • The selling shareholders and management team of BathEmpire.com, the fast-growing online bathroom products retailer, which employs 96 staff at its Coventry-based headquarters, in connection with its sale to ISIS Private Equity.
  • The management team of RDS Technology Limited in connection with the sale of their shares to Digistar UK, a management buyout vehicle backed by Bain Capital.
  • The management team in connection with a private equity-backed MBO of TagWorldwide Group Limited.
